SAGIA issued recently new rules and conditions for those companies interested to invest in KSA. Any new investor applying for registering a Limited Liability Company (regardless 100% foreign owned or mixed owned LLC) or a branch of foreign company must comply with the new rules issued by SAGIA .

Hereunder you may find the new conditions to invest in major sectors in KSA;

A- Required documents from Contracting & Construction companies

1-Below listed documents are to be attested from the Embassy of Saudi Arabia in the investor’s country:

  • Copy of the CR (Commercial Registration Certificate) or (Incorporation Certificate) of Corporate partners.
  • Copy of the Articles of Association of the corporate partners.
  • Audited Financial Statements for last three years (2010, 2011, 2012) shall be audited by legal auditor in that country.
  • Copy of Contractor’s Classification (at least Class C or Grade 3 in the activity required in KSA).
  • At least 3 Project Completion Certificate that investor has implemented an earlier project in its country or another country, in a financial value beyond the financial limits of the 3rd class of classification approved by the Ministry of Municipal and Rural Affairs or equivalent .
  • Bank certificate showing that the investor’s bank account maintains a balance of SR.500,000 or equal to the required capital to be invested in the Branch.
  • A letter or certificate stating that the person whose signature appearing in the authorization and resolution is the authorized representative and signatory of the company (attached Notary Public Letter).
  • A commitment letter not employ than 25% of non-Saudi manpower, if necessary, among this percentage there will be managers, executives and specialists who have the experience not less than 3 years in the same activity to work with the company after being licensed by SAGIA. This commitment shall be applied on your company as far as the total manpower (employees sponsored by the company) are below 300 in KSA (this clause is embodied in the ‘Resolution’).
  • A commitment letter to obtain an insurance against the company errors in implementation of the project after being granted the license or when renewed (this clause is embodied in the ‘Resolution’).
  • A commitment letter of the licensed company or renewed license to submit an annual report on all projects that awarded to or executed by the company and the value of each project (this clause is embodied in the ‘Resolution’).
  • A commitment letter of the licensed company or renewed license to provide all data and information and the financial statements to any auditor determined by SAGIA to audit its financials (this clause is embodied in the ‘Resolution’).

2-Below listed documents are to be signed in front of the Notary Public and then attested by Ministry of Foreign Affairs & Saudi Embassy in the investor’s country:

  • Power Of Attorney, Manager Authorization, Resolution and Letter from Notary Public (text format shall be given to you upon appointing GCH as your representative for registering the investment).

3-Below listed documents DO NOT require attestation:

  • A list of the major 3 clients of the applicant in his country – with contact details.
  • Company profile (Catalog + Website address).
  • Copy of ALL PAGES of the passport of the Director-Representative of the foreign company who is signing the authorizations and resolution, including empty pages.
  • 8 personal photos, size: 3x4, white background for Director-Representative.
  • 8 personal photos, size: 3x4, white background for the manager of the new Branch in KSA.
  • Copy of ALL PAGES of the Passport of the Branch manager in KSA, including empty pages.
  • You are requested to Provide a detailed Business Plan indicates accurately the capability of the company to achieve the objectives of the investment including its contribution in the increase of the Kingdom revenue, and a Saudization Plan explaining the jobs that will be provided by the project to the citizens, how the project contribute in promotion of competition and services and the diversity of option for consumers , the strategic investment dimensions of the project on the investment in the Kingdom, the advantage of the city that to be the center of the project and its region of this project.
  • The applicant company provides an unconditional and irrevocable bank guarantee (through Saudi Bank) in the name of SAGIA renewed annually against granting the license at rate of 2% of the financial limits for 3rd Class of the classifications provided by Ministry of Municipal & Rural Affairs or equivalent for the targeted the activity. Such guarantee remains valid and enforceable until the write-off the commercial registration.
Notes:
  • All documents to be attested from Saudi Embassy must be in English Language. No need to translate them into Arabic Language.
  • During the assessment of documents, SAGIA may ask to present a commitment letter separately for Points# 1.8, 1.10, 1.11 and 1.12.
  • No combination is allowed in the license application between construction & building, maintenance & operation in one license, excluding companies with more than 300 employees at their home country. An official proof that your company has more than 300 employees and this evidence shall be attested by Saudi Embassy.
  • THE TARGETED fields of construction in KSA shall be as per approved fields of classifications issued by the Ministry of Municipal & Rural Affairs as a reference to identify and describe the activities related to the activity of construction, building, management and maintenance, operation and cleaning and it should be consistent with the kingdom international commitments.
  • GCH will not be responsible for any changes in the requirements should there be any amendment/s in the investment regulations, implemented after issuing the above list of requirements to our client. However GCH will be advising the clients, in a timely manner, should there be any amendments in the regulations relative to the investment registration.

B- Required documents from Manufacturing companies

1- Below listed documents are to be attested from the Embassy of Saudi Arabia in the investor’s country:

  • Copy of the CR (Commercial Registration) Certificate or (Incorporation Certificate) of the investing company.
  • Copy of the Articles of Association of the company.
  • Bank certificate which shows the financial capabilities of the company. This certificate should show that the company’s bank account maintains a balance of SR. 1,250,000 at least, equal to the paid up capital investment.
  • A commitment letter from the partners to comply with all valid regulations in KSA (not required since it is embodied in the draft of ‘Resolution’).
  • Audited Financial Statements for last three years (2010, 2011, 2012) audited by legal auditor in that country or SAGIA may ask up to 10 years describing the integrity of the financial position provided that have profit in all years and to be prepared by a CPA and attested from the concerned authorities in charge of commercial activities and taxes in home country.

2- Below listed documents are to be signed in front of the Notary Public and then attested by Ministry of Foreign Affairs & Saudi Embassy in the investor’s country:

  • Power Of Attorney, Manager Authorization and Resolution including letter from Notary Public regarding authorized signatory of the company (text format shall be given to you upon appointing GCH as your representative for registering the investment).

3- Below listed documents DO NOT require attestation:

  • Feasibility study regarding technical and financial aspects of the investment.
  • Companies profile (Catalog + Website address).
  • Companies Contacting details; phone, fax, e-mail, P.O. Box …. etc.
  • Copy of the passport of the Director-Representative of the company who is signing the authorizations and resolution, full pages including empty pages.
  • 8 personal photos, size: 3x4, white background for the Director-Representative of the company.
  • Copy of the Passport of the appointed manager of the new Branch in KSA, full pages including empty pages.
  • 8 personal photos, size: 3x4, white background for the appointed manager of the new Branch in KSA.
  • The technical specifications of or method of product must comply with Gulf, Saudi or international specifications (this clause is embodied in the ‘Resolution’).
  • Final product must be in conformity with Saudi technical regulations, or the related Saudi standard specifications (this clause is embodied in the ‘Resolution’).
  • Design of the project site should be made by a certified, licensed engineering firm (this clause is embodied in the ‘Resolution’).
  • That the purpose of the production of the final product is to achieve self-sufficiency for the domestic market and export development (this clause is embodied in the ‘Resolution’).
  • Not employ than 25% of non-Saudi manpower, if necessary, among this percentage there will be managers, executives and specialists who have the experience not less than 3 years in the same activity to work with the company after being licensed by SAGIA (this clause is embodied in the ‘Resolution’).
  • Provide a detailed Business Plan indicates accurately the capability of the company to achieve the objectives of the investment including its contribution in the increase of the Kingdom revenue, and a Saudization Plan explaining the jobs that will be provided by the project to the citizens, how the project contribute in promotion of competition and services and the diversity of option for consumers, the strategic investment dimensions of the project on the investment in the Kingdom, the advantage of the city that to be the center of the project and its region of this project.
  • Existence of technical system to manage and control production, recycling, waste disposal as well operation according to clear production lines, power consumption, stores, safety a security in the factory (this clause is embodied in the ‘Resolution’).
  • Existence of approved safety plan in the factory (this clause is embodied in the ‘Resolution’).
  • Provide an annual report of factory production, raw materials consumption, import & export and production volume commensurate with factory size and number of staff (this clause is embodied in the ‘Resolution’).
  • Provide all data and information and the financial statements to any auditor determined by SAGIA to audit its financials (this clause is embodied in the ‘Resolution’).

Notes:
  • SAGIA, DURING THE ASSESSMENT OF THE DOCUMENTS, MAY REQUIRE FROM BOTH PARTNERS, A TECHNICAL STUDY OF THE INVESTMENT.
  • SAGIA during the assessment of documents may ask to present a commitment letter separately for Points# 3.8, 3.9, 3.10, 3.11, 3.12, 3.13, 3.15, 3.16, 3.17 & 3.18.
  • All documents to be attested from Saudi Embassy must be in English Language. No need to translate them into Arabic Language.
  • GCH will not be responsible for any changes in the requirements should there be any amendment/s in the investment regulations, implemented after issuing the above list of requirements to our client. However GCH will be advising the clients, in a timely manner, should there be any amendments in the regulations relative to the investment registration.

C- Required documents for Resturants

1- Below listed documents are to be attested from the Embassy of Saudi Arabia in the investor’s country:

  • Copy of the CR (Commercial Registration Certificate) or (Incorporation Certificate) of Corporate partners.
  • Copy of the Articles of Association of the corporate partners.
  • Audited Financial Statements for last three years (2010, 2011, 2012) shall be audited by legal auditor in that country.
  • A commitment letter from the partners to comply with all valid regulations in KSA (not required since it is part of the ‘Resolution’).
  • Bank certificate showing that the investor’s bank account maintains a balance of SR.500,000 equal to the required capital to be invested in the investment.
  • A letter or certificate stating that the person whose signature appearing in the authorization and resolution is the authorized representative and signatory of the company, to be stamped from Saudi Embassy (attached Notary Public Letter).
  • A commitment letter not employ than 25% of non-Saudi manpower, if necessary, among this percentage there will be managers, executives and specialists who have the experience not less than 3 years in the same activity to work with the company after being licensed by SAGIA (this clause is embodied in the ‘Resolution’).
  • The license applicant company should have the health certificates and necessary licenses from country of origin including the correctness of its health registration.
  • A commitment letter for the space of the restaurant should be at least of 1000 m2, including family and individual sections, the kitchen and chef to be prominent to customer (this clause is embodied in the ‘Resolution’).
  • A commitment letter of the licensed company or renewed license to provide all data and information and the financial statements to any auditor determined by SAGIA to audit its financials (this clause is embodied in the ‘Resolution’).

2- Below listed documents are to be signed in front of the Notary Public and then attested by Ministry of Foreign Affairs & Saudi Embassy in the investor’s country:

  • Power Of Attorney, Manager Authorization, Resolution and Letter from Notary Public (text format shall be given to you upon appointing GCH as your representative for registering the Branch).

3- Below listed documents DO NOT require attestation:

  • A list of the major 3 clients of the applicant in his country – with contact details.
  • Company profile (Catalog + Website address).
  • Copy of ALL PAGES of the passport of the Director-Representative of the foreign company who is signing the authorizations and resolution including blank pages.
  • 8 personal photos, size: 3x4, white background for Director-Representative.
  • 8 personal photos, size: 3x4, white background for the manager of the new Branch in KSA.
  • Copy of ALL PAGES of the Passport of the Branch manager in KSA including blank pages.
  • You are requested to Provide a detailed Business Plan indicates accurately the capability of the company to achieve the objectives of the investment including its contribution in the increase of the Kingdom revenue, and a Saudization Plan explaining the jobs that will be provided by the project to the citizens, how the project contribute in promotion of competition and services and the diversity of option for consumers , the strategic investment dimensions of the project on the investment in the Kingdom, the advantage of the city that to be the center of the project and its region of this project.
  • Existence of technical system for serving orders, stores, fridges, POS, security and safety.
